Required documents:

1.     The articles of association. The articles of association should be in the form of a notarial deed.

2.     Statement of all members of the Board that the contributions to the share capital were fully paid by all members.

3.     Proof of appointment of board members (if the articles of association do not mention the appointment).

4.     The list of shareholders, including the name and first name or company name, the number and nominal value of the shares for each of them.

5.     The surnames, names and addresses of the members of the Management Board.

6.     Surname, first name or business name and registered office and the address of the sole shareholder (if any) - this condition applies only to single-person limited liability companies.

7.     Statement of consent of the persons authorized to represent the entity.

All documents issued abroad must be legalized by a Polish consul (not required in countries where obtaining an Apostille is possible, or if particular provisions of law provide otherwise). All documents shall be in Polish.

The legal fee of the registration of Limited Liability Company in Poland will be cost 1300.00 euro.

Additional payments: notary services, translation services, official government fees and charges for state registration of legal entities.

Notarize company agreement

Notary fee depends on the value of the share capital + the tax on civil-law transactions.  It is 0,5% of the value of the share capital of the company.

Opening a bank account for the company. Deposit paid-in capital at the bank

Submit data to National Court Register (KRS) for registration

Court fee for entry -  PLN 500. The fee for publication in the Court and Economic Monitor the announcement of company's entry in the National Court Register - PLN 100.

Submit for the registration of a tax identification number (NIP) and statistical number (REGON)

No charge. It is not compulsory to submit an application unless you are registering as a VAT taxable person.

Register for VAT, VAT-UE and CIT (Corporate Income Tax) taxation

No charge

Register the company at the National Sanitary Inspection

No charge

Register the company at the National Labour Inspection

No charge

Submit additional information to tax office competent for the seat of the company
