Incorporation Requirements

 

Shareholders
Every Private Limited Company must have, at least, one (1) shareholder who may either be an individual person or a corporate entity.

 

Share capital
The minimum size of share capital is 1 UAH, but we recommend more, at least for the initial expenses of the company. The share capital must be formed within 6 months of date of set up company.

 

Directorship and Company Secretary
A company that is registered in Ukraine must have a minimum of one (1) director, only individual and no requirements for company secretary. A director should be a Ukrainian citizen or foreigner, but only from the moment of getting work permit.  

 

Registered Office
Every company must have a registered office address situated in Ukraine.

 

Time Required to set up a Company
The length of time required to set up a company in Ukraine depends on the type of company involved and on the timely submission of all information and documentation, but in general not more than 20 days.

 

Taxation & Double Tax Treaties
Ukraine is currently signatory to almost 70 Double Tax Treaties. Corporate tax in Ukraine is 18% on the gross profits based on the financial statements of the company. Ukrainian tax legislation to provide opportunity for small company with annual turnover not more than 210 000.00 euro to use corporate tax in amount 5% on income.  VAT – 20%.

 

Accounting
Ukraine-registered companies are required to keep proper accounting records and financial statements. Financial statements should include the balance sheet, profit and loss account.

 

Documents needed
New company activities in Ukraine are constituted by Articles of Association that are subscribed to by the shareholder/s; a certificate of registration that is issued by the Ukraine Registrar of Companies in respect thereof and Tax certificate, issue by Tax authority. 

 

The Article of Association would state the name of the company; the name, address and official identification of the subscribers; the main activities of the company; details regarding the authorised, issued and paid-up share capital; the number of directors and their particulars, etc. 

 

Opening a Bank Account
Open a Bank account in Ukraine is possible only for company with clear structure and activities.
