Registration of a representative office of a foreign company in Ukraine
Currently, for May 19, 2022, the Ministry of Economy of Ukraine resumed work on accepting documents for registration of representative offices of foreign companies.

In 2020 we registered more than 10 foreign representative offices from countries such as the United States, Cyprus, Hong Kong, Lithuania, the Czech Republic, Romania, Italia, UK and Austria.
The demand for registration of foreign representative offices is due, inter alia, to the reduction of the state duty from USD 2,500.00 to UAH 2,481.00, and the reduction of the term of registration from 60 working days to 20 working days.
Registration of a foreign representative office is carried out in two stages, at the first stage the registration of the representative office is carried out by the Ministry of Economy of Ukraine, then, after receiving the Certificate of Incorporation, such representation must be registered with statistics authority, tax and pension fund.

The services, what we provide include:

preparation and submission of necessary documents to the Ministry of Economic Development, Trade and Agriculture of Ukraine;

registration with statistical bodies;

registration with the tax authorities and the Pension Fund;

making a seal.
The cost of such services is 1 200.00 EUR, except of the services of a notary, translator, and state fee, which will be paid separately.
Additionally, Misechko & Partners is ready to provide bank account opening services, the cost of such a service is EUR 400.00.

Sequence of actions for registration of a representative office:
Submission of the package of documents, lists:
A) an application for registration of a representative office. It can be filed in any form on company letterhead blank with signature of the Head and stamp of a company (if available). The application shall contain:

name, state of origin, location, date of foundation, legal form, number of employees and the field in which a company conducts its activities;

telephone and fax numbers;
-
city where the office will be opened and its future address;
-
number of foreign citizens who will work in a representative office;
-
name of a bank and account number;
-
if any branches are planned to be created - the city in which they will be created;
-
the purpose of foundation and field of activities conduction, information on business relations with Ukrainian partners and prospects of cooperation development.
B) an extract from a trade, bank or court register of a country where officially registered management body of a foreign company is located confirming the registration of the company;
C) certificate from a bank where an account of a foreign company is opened and number of the account;
D) authorization document for representation in Ukraine issued under the laws of a country where a foreign company is registered;
E) The Regulation of representative office.

These documents must be submitted to the Ministry of Economy of Ukraine within 6 months from the date of their issuance in the state where a company is located.
Important! The documents must be notarized at the place of issuance, duly legalized (through legalization in consular establishments or by being apostilled) and translated into Ukrainian.
Translation must be certified by a translator.
Payment of the fee, the state fees are following:

one subsistence minimum for able-bodied persons - for registration within twenty working days from the date of submission by the foreign business entity of the documents for registration of the representative office,
-
30 subsistence minimums for able-bodied persons - for registration within sixty working days from the date of submission of the representative's registration documents by a foreign entity that is a resident of the State recognized by the Verkhovna Rada of Ukraine.
